Terms of Service

These Terms govern your access to and use of the ClearTeam platform operated by AskNora ApS. Please read them carefully before using the Service.

1. Acceptance of Terms

By accessing or using the ClearTeam platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have such authority, or if you do not agree with these Terms, you must not access or use the Service.

AskNora ApS ("ClearTeam", "we", "us", or "our") reserves the right to update these Terms at any time. We will notify you of material changes via email or an in-product notice at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

2. Description of Service

ClearTeam is an AI-powered organisational diagnostic platform that enables companies to design and deploy structured interview questionnaires, collect aggregated employee responses, and generate board-ready analytical reports. The Service is designed exclusively for lawful business intelligence and process-improvement purposes.

The Service is not designed or intended to be used as an employee monitoring, surveillance, performance ranking, sentiment scoring, emotion recognition, or disciplinary tool. Any use of the Service for such purposes is strictly prohibited.

3. Accounts and Workspaces

  • You must provide accurate and complete registration information and keep it up to date.
  • Each workspace is associated with one organisation. You may not create workspaces on behalf of organisations you do not represent.
  • You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
  • You must notify us immediately at legal@clearteam.ai if you become aware of any unauthorised use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms or applicable law.

4. Permitted Use

Subject to these Terms, ClearTeam grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business purposes.

You agree not to:

  • Reverse-engineer, decompile, or attempt to extract source code from the Service.
  • Use the Service to build a competing product or service.
  • Circumvent or disable any security, rate-limiting, or access-control features.
  • Transmit harmful code, spam, or unsolicited communications through the Service.
  • Process special-category data (as defined under GDPR Art. 9) unless you have obtained explicit written consent from each data subject and from ClearTeam.
  • Use the Service to score, rank, or evaluate individual employee performance, loyalty, emotions, or personal characteristics.

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully.

You retain ownership of all data you submit to the Service ("Customer Data"). By submitting Customer Data, you grant ClearTeam a limited, worldwide, royalty-free licence to process that data solely to provide, maintain, and improve the Service and to fulfil our obligations under applicable law.

ClearTeam processes diagnostic data in an aggregated, anonymised form by default. Raw participant responses are never accessible to other participants and are subject to strict access controls as described in our Privacy Policy. ClearTeam does not sell Customer Data to third parties.

6. Intellectual Property

The Service, including all software, algorithms, interfaces, documentation, trade marks, and related materials, is owned by ClearTeam and protected by copyright, trade secret, and other intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you. Feedback you provide about the Service may be used by ClearTeam without restriction or compensation.

7. Credits, Fees, and Payment

Certain features of the Service require the purchase of prepaid interview credits. Credit packages, prices, and billing terms are displayed in the Service at the time of purchase. All prices are exclusive of applicable taxes unless stated otherwise.

Payments are processed by Stripe, Inc. and are subject to Stripe's terms. Credits are added to your workspace only upon confirmed payment. Credits are non-refundable except where required by applicable law. Purchased credits do not expire during the current product version.

ClearTeam reserves the right to change pricing with 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that a reasonable person would consider confidential given the nature of the information and the circumstances of disclosure. This obligation does not apply to information that is or becomes publicly known through no breach of this agreement, or that must be disclosed by law or court order.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

AI-generated reports and insights are provided for informational purposes only. They do not constitute legal, HR, financial, or professional advice. You are solely responsible for any decisions made based on the output of the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law, ClearTeam's total cumulative liability to you arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts paid by you to ClearTeam in the 12 months preceding the claim, or (b) €100. In no event will ClearTeam be liable for any indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility of such damages.

11. Termination

Either party may terminate these Terms at any time. Upon termination, your right to access the Service ceases immediately. We will provide a 30-day data-export window following termination, after which Customer Data will be deleted in accordance with our data-retention policy.

Sections 5, 6, 8, 9, 10, and 13 survive any termination of these Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of Denmark, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the courts of Copenhagen, Denmark, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

13. General Provisions

  • These Terms, together with the Privacy Policy and any Order Forms, constitute the entire agreement between you and ClearTeam regarding the Service.
  • If any provision is found unenforceable, the remaining provisions remain in full force.
  • ClearTeam's failure to enforce any right or provision does not constitute a waiver.
  • You may not assign your rights or obligations under these Terms without ClearTeam's prior written consent.
